Trade Terms & Conditions

These Trade Terms & Conditions apply to all wholesale purchases made from RESONAIRR LTD (“we”, “us”, “our”). By placing a wholesale order, you agree to be bound by these terms.

1. Application

These Terms apply to all trade customers purchasing goods from RESONAIRR LTD, a company registered in England and Wales (Company Number: 16255006), with a registered office at 182-184 High Street North, East Ham, London, E6 2JA

Trade accounts are intended for businesses, workshops, and retailers only. We reserve the right to approve or decline any application at our discretion.

2. Trade Accounts

Access to trade pricing is granted upon approval of a trade account.

We reserve the right to:

  • Revoke or suspend trade accounts at any time

  • Refuse supply where misuse or breach of terms is suspected

  • Request verification of business details

Trade pricing is confidential and must not be shared publicly.

3. Orders & Payments

  • All trade pricing is provided exclusive of VAT unless stated otherwise

  • Prices may be updated at any time without prior notice

  • The price at the time of ordering will be honoured once confirmed

Trade discounts are structured based on volume and may be adjusted.

Trade customers are free to resell our products at their own discretion.

However, we may provide a recommended retail price (RRP) as a guideline to support consistent positioning of the brand.

We reserve the right to:

  • Refuse supply to accounts that consistently undercut market pricing in a way that may harm the brand

  • Review or suspend trade accounts where resale practices conflict with our positioning

Products must not be misrepresented or sold in a way that damages the reputation of the brand.

4. Orders

All orders are subject to acceptance and availability.

We reserve the right to:

  • Refuse or cancel any order

  • Limit quantities at our discretion

  • Delay fulfilment if stock is unavailable

Orders are confirmed once accepted and invoiced.

5. Payment Terms

Unless otherwise agreed:

  • Payment is required in full prior to dispatch

  • Orders will not be shipped until payment has cleared

For approved accounts, alternative payment terms may be offered at our discretion.

6. Minimum Order

We do not currently operate with minimum order quantities or minimum spend thresholds.

However, we reserve the right to introduce minimums in the future where necessary.

7. Products

We aim to ensure all product descriptions and specifications are accurate. However:

  • Minor variations in appearance or packaging may occur

  • Products may be updated or improved without prior notice

We reserve the right to:

  • Modify or discontinue products

  • Limit availability by region or customer

8. Intellectual Property

All content on our website, including text, graphics, and images, is the property of RESONAIRR LTD and may not be copied or reproduced without permission.

9. Supply and Availability

We do not guarantee continuous availability of any product or SKU.

Stock levels may vary, and certain products may be temporarily unavailable due to manufacturing, packaging, or supply constraints.

We are not liable for any loss of business resulting from stock shortages, delays, or discontinued products.

10. Shipping

We aim to dispatch orders promptly, however:

  • Processing times may vary depending on order size and stock levels

  • Shipping timelines are estimates only

We are not liable for delays caused by couriers or other factors outside our control.

11. Returns

Returns are generally not accepted on wholesale orders.

However, for new trade accounts, we may offer a buy-back scheme to support initial onboarding. Details of this will be agreed on a case-by-case basis.

We will only accept returns or replacements for:

  • Defective products

  • Incorrect items supplied

Any issues must be reported within 7 days of delivery. Items must be unused and in original condition.

12. Retail Displays

We may provide retail display units to trade customers on a loan basis, free of charge.

All display units remain the property of RESONAIRR LTD at all times.

Where a trade account becomes inactive or ceases to stock our products, we reserve the right to request the return of any display units provided. Customers are responsible for ensuring displays are returned in good condition, allowing for reasonable wear through normal use.

We reserve the right to charge for any displays that are not returned, or are returned in a condition unsuitable for reuse.

13. Product Use

Our products are intended for standard use.

We are not responsible for:

  • Damage caused by incorrect installation

  • Misuse or modification of products

  • Normal wear and tonal changes over time

14. Intellectual Property

All branding, content, and materials remain the property of RESONAIRR LTD.

Trade customers may not:

  • Reproduce branding without permission

  • Misrepresent the product or brand

14. Limitation of Liability

We do not exclude liability for:

  • Fraud

  • Death or personal injury caused by negligence

  • Statutory consumer rights

However, we are not liable for:

  • Indirect or consequential losses

  • Loss of business, profit, or revenue

  • Delays or failures outside our control

15. Termination

We reserve the right to:

  • Suspend or terminate trade accounts

  • Refuse future supply

Where these terms are breached.

16. Governing Law

These Terms are governed by the laws of England and Wales.

All disputes will be subject to the jurisdiction of the English courts.

17. Changes to Terms

We may update these Terms at any time. The latest version will always be available upon request or on our website.
